Terms of business
Clear and fair.
How ordering, payment and delivery work – and what your rights are.
1. Introduction
1.1 These terms govern the rights and obligations between the provider and the client when providing the services offered on matyvysvetluje.cz.
1.2 The provider is Světlana Matjuginová, company ID (IČO) 69578702, registered at Trstěnice 166, 671 71 Trstěnice, Czech Republic, a sole trader registered in the Trade Register kept by the Municipal Office of Moravský Krumlov. Not a VAT payer. The services are delivered on the provider's behalf by Matyáš Průša. Contact: [email protected], +420 510 510 643. Payments to account 3264999042/3030 (IBAN CZ54 3030 0000 0032 6499 9042).
1.3 The client is any person or organisation ordering a service. If the client is a consumer (not acting in the course of a business or profession), Article 10 also applies. Provisions that do not apply to consumers under Article 10 or the law apply only to businesses and organisations.
1.4 Services: websites, internal systems and AI assistants, motion graphics, talks and workshops, website maintenance and security checks.
2. Orders and the contract
2.1 An order via the website form, email or phone is not binding; it is used to prepare a quote. You can correct anything in the form before sending it, and later in your reply to the quote.
2.2 The provider sends a quote with the scope, price and timeline. The contract is concluded when the client confirms the quote in writing (email is enough) or when both parties sign a separate contract.
2.3 The contract is concluded in Czech (or English on request). The provider keeps it with the quote electronically and sends a copy on request.
2.4 A separate contract takes precedence over these terms. Prices on the website are indicative; the price in the quote is binding.
3. Price and payment
3.1 The price in the quote is final. The provider is not a VAT payer.
3.2 Payment is by bank transfer against an invoice due in 14 days unless agreed otherwise.
3.3 Before work on a website, system or graphics starts, the client pays a 50% deposit; the rest after delivery. No deposit is taken for talks and workshops.
3.4 Maintenance is paid monthly or yearly in advance as quoted.
3.5 If a payment is overdue, the provider may, after a reminder, pause the work or the maintenance service.
4. Cooperation and materials
4.1 The client supplies materials (texts, photos, logos, access details) on time and is responsible for holding the rights to them.
4.2 Delays caused by missing materials or late feedback move the delivery date by the same time.
4.3 The price includes 2 rounds of revisions. Further changes beyond the quote are charged after prior agreement.
5. Delivery
5.1 The work is delivered when the provider makes it available (launching the site, handing over files, giving access).
5.2 A business client may report defects within 7 days of delivery; otherwise the work is deemed accepted. This does not affect consumers' statutory rights.
6. Copyright and licence
6.1 Once paid in full, the client receives a non-exclusive licence, unlimited in time and territory, to use the work for its intended purpose.
6.2 Source files (code, design and video projects) are handed over if the quote says so.
6.3 The provider may show the work in the portfolio and references unless agreed otherwise.
6.4 Third-party components (fonts, stock media, templates, libraries) are governed by their authors' licences.
7. Third-party services
7.1 Hosting, domains, email, payment gateways and AI services are provided by third parties on their own terms. The provider is not liable for their outages or price changes, but helps choose and set them up.
7.2 Third-party fees are paid by the client unless the quote includes them.
8. Defects and complaints
8.1 The client has statutory rights for defective performance under the Czech Civil Code. Defects caused by the provider are fixed free of charge within a reasonable time. Businesses may claim them within 30 days of delivery; consumers within the statutory period (generally 24 months for work).
8.2 Send complaints to [email protected] with a description of the defect. The provider confirms receipt and handles it without undue delay, within 30 days at most.
8.3 Problems caused by the client's or a third party's changes, by changes in third-party services or by use contrary to instructions are not defects.
9. Liability
9.1 The provider is liable for damage caused by breaching its obligations. Towards businesses, liability is capped at the price of the job, except for intentional damage or gross negligence. Liability towards consumers is not limited.
9.2 A security check describes the state at a given date and does not guarantee resistance to every attack.
10. Consumers
10.1 A consumer may withdraw from a distance contract (email, phone, website) without giving a reason within 14 days of its conclusion by sending a clear statement to [email protected], for example using the form below. Sending it before the deadline is enough.
10.2 If a consumer expressly asks for work to start during the withdrawal period and then withdraws, they pay a proportionate part of the price for what was provided. Once the service has been fully provided with their express consent, the right of withdrawal ends.
10.3 On withdrawal, the provider refunds payments within 14 days using the same payment method.
10.4 Out-of-court resolution of consumer disputes: Czech Trade Inspection Authority (ČOI), Gorazdova 1969/24, 120 00 Prague 2, adr.coi.cz. Supervision: the Czech Trade Inspection Authority (coi.cz) and, under the Trade Licensing Act, the Trade Licensing Office of the Municipal Office of Moravský Krumlov.
11. Talks and workshops
11.1 The date, scope and programme are agreed in advance and approved by the client.
11.2 Cancellation more than 7 days before the date is free; later cancellation costs 30% of the price. The provider always offers another date first; if accepted, no fee is charged.
11.3 If the provider cancels (illness, force majeure), another date is offered or any payment is refunded in full.
11.4 A certificate of attendance confirms participation. It is not accredited teacher training (DVPP).
12. Maintenance
12.1 Maintenance contracts are open-ended; either party may terminate with one month's notice to the end of a calendar month.
12.2 The scope (updates, backups, uptime monitoring, small edits) is in the quote; anything beyond it is charged by agreement.
13. Personal data
Personal data processing is described in the Privacy policy at matyvysvetluje.cz/soukromi.
14. Final provisions
14.1 Matters not covered by these terms are governed by Czech law, in particular the Civil Code (Act No. 89/2012 Coll.) and, for consumers, the Consumer Protection Act (Act No. 634/1992 Coll.).
14.2 The provider may change these terms. A concluded contract is governed by the version in force on the day it was concluded.
14.3 These terms take effect on 27 October 2026.
